TRINITI advised BayWa r.e. Energy Ventures in leading the €6.4M investment round of Roofit.solar, an Estonian solar roof technology startup

TRINITI Estonia, in association with Norton Rose Fulbright, advised BayWa r.e. Energy Ventures on its investment into Estonian solar power-generating roofing technology start-up Roofit.solar. BayWa r.e. was the lead investor in the €6.4M Series A investment round, the proceeds of which will be mainly used to boost the company’s export and production capacity and to develop new products. Led by partner Ergo Blumfeldt (Mergers & Acquisitions / Private Equity) TRINITI’s Tallinn-based team included associate Peeter P. Mõtsküla (IP/IT).

LHV refinanced the bonds of the largest Estonian aviation assetco

Seven Bombardier CRJ900-type aircraft owned by Transpordi Varahaldus OÜ (TVH) are now fully financed by LHV Bank, while Estonia’s national airline Nordica continues as their lessee. Government-owned TVH refinanced its previously issued bonds with a 23 million euro loan from an Estonian LHV Bank. TRINITI attorneys Ergo Blumfeldt, Ain Kalme, Tõnis Tamme ja Sten Veidebaum were advising TVH in drafting the legal documentation of the transaction and related negotiations, necessary changes in the civil aircraft registry, amendment of the existing aircraft lease agreements as well as in other legal documentation. Sale of majority shares in Raikküla Farmer group

TRINITI advised majority shareholder and long-term manager Tõnu Rahula selling majority shares in Raikküla Farmer OÜ. The assignment included organizing the whole sales process including organizing the tender, finding potential investors, support with audits, preparation and negotiation of agreements. At the end of the process the shares of the majority shareholder were acquired by one of the minority shareholders and a grain grower in the area, Metetra OÜ.  Raikküla Farmer is among the largest agriculture companies in Estonia having a cattle of more than 2 400 bovines in very modern facilities, using more than 3 000 hectars of land, half of which is owned. Raikküla Farmer sells a little less than 10 000 tons of milk per year. The transaction also included Raikküla pig farm.

Acquisition of Mobilum OÜ

TechX Technologies Inc. (OTC: TECXF) entered into a share purchase agreement to acquire a 100% interest in Mobilum OÜ for C$16,000,000. TRINITI’s team consisting of Ergo Blumfeldt, Ain Kalme, Sten Veidebaum and Peeter Mõtsküla advised TechX Technologies Inc. in Estonian local law matters for the share purchase agreement and in conducting a legal due diligence. TRINITI consulted the new Estonian pre-seed & seed stage investment firm Lemonade Stand

TRINITI advised Lemonade Stand, new Estonian pre-seed & seed stage investment firm in one of its first investments. Lemonade Stand lead a round of 600 000 eur into ProcurementFlow, cloud-based software company for fully digitized procurement workflow. The other investors included Pipedrive co-founder Martin Henk, and Bolt co-founder Martin Villig, AdCash founder Thomas Padovani, Bellone Invest, Stagnation Lab, Katana MRP co-founder Kristjan Vilosius, Skeleton Technologies founders Taavi Madiberk and Oliver Ahlberg. TRINITI team consisting of Ergo BlumfeldtAin Kalme and Maarja Lehemets assisted the client in carrying out due diligence of the company and negotiating the financing documentation.

Advising DeRoyal Estonia on keeping its bank account open

We advised DeRoyal Estonia, a company with US background, in the compliance process performed by the bank in meeting the requirements for keeping the bank account open. DeRoyal Estonia belongs to DeRoyal group. DeRoyal is a US-based international manufacturer and marketer of healthcare products. DeRoyal’s portfolio includes, for example, surgical equipment, orthopedic softgoods and wound dressings. DeRoyal has manufacturing assets on three continents, operations in six countries and a total of 1,900 employees.

Acquisition of Kaarli Hambapolikliinik OÜ

We advised the sellers in so far the biggest acquisition transaction in the field of dental care in Estonia by which DenCap Investeeringud OÜ, owned by BaltCap Private Equity Fund, acquired Kaarli Hambapolikliinik OÜ. Our task included the negotiation of the transaction documents as well as assistance in preparing the transaction. Kaarli Hambapolikliinik OÜ provides dental care services in 43 modern dental care cabinets located at Toompuiestee, Sõpruse puiestee and Ülemiste in Tallinn.
