TRINITI partner and co-head of the Transport & Infrastructure practice group Tõnis Tamme together with associate Peeter Mõtsküla, head of the TRINITI Start-Up practice group advised Krakul and its parent company Krakul Holding in all legal matters related to the transaction.

TRINITI has for almost 15 years advised SIA TET and SIA TET Estonian branch in various commercial & corporate law and employment law matters. SIA TET (previously Lattelecom) is the leading Latvian Internet, TV and telecommunications services provider, as well as leading IT solutions and data centres technologies and digital content company.

TRINITI advised an Isle of Man company with the sale of a Hawker 850XP Business Jet to Fort Aero AS, an Estonian air operator specialising in the provision  of charter flight services  and management of corporate jet fleet. The transaction involved registration of the aircraft in Estonia, setting up a security structure using the aircraft as security for the payment of the sales price and agreement of terms and  conditions for provision of chartered flight services to the seller with Fort Aero’s fleet of aircraft. Seven Bombardier CRJ900-type aircraft owned by Transpordi Varahaldus OÜ (TVH) are now fully financed by LHV Bank, while Estonia’s national airline Nordica continues as their lessee. Government-owned TVH refinanced its previously issued bonds with a 23 million euro loan from an Estonian LHV Bank. TRINITI attorneys Ergo Blumfeldt, Ain Kalme, Tõnis Tamme ja Sten Veidebaum were advising TVH in drafting the legal documentation of the transaction and related negotiations, necessary changes in the civil aircraft registry, amendment of the existing aircraft lease agreements as well as in other legal documentation. Read moreIn 2017 and 2018, TVH issued bonds for a total of 35 million euros which were purchased in equal parts by LHV Pension Funds and LHV Pank. TVH used the financing to purchase additional CRJ900-type aircraft and lease them to Nordic Aviation Group AS (Nordica). The outstanding amount of the bonds was now refinanced with a bank loan obtained from LHV Bank. Indrek Nuume, Head of Business Banking at LHV Pank, said that the local bank and the local aircraft owner were a perfect match. “Our cooperation with TVH has been long-standing, successful and reliable. We’re glad to be involved in their investment plans. As LHV Pension Funds are always on a lookout for new investment opportunities with a higher rate of return, we agreed on new suitable bank financing terms with TVH. We can see that the sector is recovering well and wish all the success to Estonian aviation,” Nuume added. According to TVH the two past years have been exceedingly complicated for aviation but due to reliable and long-standing cooperation with the lessee and the financiers alike, the assetco has weathered the crisis well, managing to keep its current commercial activities profitable.

TRINITI attorneys Tõnis Tamme and Mikk Põld advised a UK-based client in a sale of restaurant premises in Tallinn Old Town.

The Estonian national airline Nordic Aviation Group (Nordica) and the Polish national carrier Polskie Linie Lotnicze LOT S.A (LOT) reached an agreement to end their joint venture in Regional Jet OÜ (Xfly). Nordica purchased LOT’s 49% share in Xfly, a leading European ACMI-services provider, after which Nordica became its sole shareholder. TRINITI transport & infrastructure legal team – partner Tõnis Tamme and senior associate Ain Kalme, advised Nordica in the contract negotiations and assisted with the closing of the transaction.

TRINITI advocates successfully represented National Oilwell Varco AS (NOV), a leading worldwide provider of equipment and components for oil and gas drilling and production, in a court dispute with Estonian companies OÜ Transmares and OÜ Palsteve, over the validity of a lien and the rights of possession of stored equipment at the Northern Port of Paldiski, incl the grant of preliminary injunctive relief by the court. The TRINITI legal team consisted of senior associate Klen Laus and partner Tõnis Tamme.

TRINITI advised and represented National Oilwell Varco AS (NOV), a leading worldwide provider of equipment and components for oil and gas drilling and production, in the bankruptcy proceedings of AS E-Profiil – one of the largest producer of metal components and constructions in Estonia. The challenging assignment included providing legal advice and taking necessary measures to ensure the completion, financing and due delivery of two large projects by AS E-Profiil undergoing bankruptcy proceedings at the same time. The TRINITI legal team consisted of partner Tõnis Tamme and senior associate Klen Laus.

TRINITI advised the largest Estonian new generation film production company Nafta Films in an insurance matter during the making of their spy thriller O2. The leading male actor Priit Võigemast injured his ankle during the shooting of the film in Finland which brought along changes to the shooting timetable and extra costs. TRINITI attorneys-at-law Tõnis Tamme ja Klen Laus advised the client and later also had an opportunity to participate as extras in some of the scenes of the movie.

TRINITI advised Enersense International Oyj, a company specializing in implementing zero-emission energy solutions, in the acquisition of the Baltic subsidiaries of Empower Group. The emerging Enersense-Empower aims to become a major player serving Nordic and international companies in the industrial, energy and telecommunications sectors.
